Job Summary  
The Director, Corporate Development will be an integral member supporting the M&A function for the company. This position will focus on sourcing and supporting the execution of acquisitions that are a strategic fit with CoolSys.  
You will bring a strong track record of supporting the end-to-end acquisition process including strategy, diligence, financial models, investor communications, and post-acquisition support. Reporting to the EVP, Corporate Development, you will closely collaborate with CoolSys’ Leadership Team to determine how best to deliver on the company's growth strategies.   
In addition to the EVP, Corporate Development, you will regularly interface with other members of the Executive Leadership Team, Board of Directors, and ARES, the private equity sponsor/partner. This highly visible position requires a self-motivated, action-oriented individual with strong financial, analytical, communication, and deal management skills who is comfortable working in an unstructured environment and will thrive in situations that require creative problem-solving, attention to detail and sound strategic judgment.   
Job Responsibilities and Duties:   
  • Partner with the EVP, Corporate Development to develop, prioritize, manage, and execute the Company’s acquisition strategy.
  • Establish a competitive landscape benchmark and size the Total Addressable Market (TAM) for all of CoolSys along their Go-to-Market Segments (Commercial & Industrial, Light Commercial and Professional Solutions)
  • Organize and facilitate a broad sourcing process that leverages the management team, former owners, senior industry contacts, and thirdparty resources.
  • Institutionalize acquisition processes developed for scale and repeatability to create a CoolSys Integration Playbook
  • Assist in post-acquisition integration and synergies alongside other members of CoolSys management.
  • Identify, research, and analyze new and existing industry and market opportunities; develop a deal pipeline.
  • Prepare financial analysis/presentation materials for Senior Management and Board of Directors
  • Partner with the EVP, Corporate Development to support all aspects of the acquisition process (origination, analysis, valuation, negotiation, diligence, and closing)
  • Cultivate relationships with acquisition targets and travel to industry events to meet potential acquisition targets.
  • Partner with internal and external resources to complete all due diligence workstreams including Accounting and Finance, Regulatory, Legal, IT and Insurance, and Benefits
  • Assist with the development of strategic plans for each acquisition that includes an integration plan and value-creation agenda, as needed working with the integration team.
Skills and Position Requirements:   
  • Prefer background in, or exposure to, businesses within a multi-site service and/or manufacturing business with $500M or greater in revenue.
  • Significant hands-on acquisition experience working in M & A, Investment Banking, Private Equity, or Corporate Development preferred (minimum of five years of professional experience preferred)
  • Experience supporting end-to-end acquisition processes including strategy, diligence, financial models, investor communications, and post-acquisition support.
  • Excellent interpersonal skills to establish rapport and maintain collaborative relationships, both internally and with prospective acquisition candidates
  • Exhibits disciplined project management processes and communications over long cycles.
  • Strong negotiations skills, ability to lead a deal process - from sourcing through closing.
  • Disciplined and decisive – not afraid to walk away from deals that do not align culturally or strategically.
  • Ability to lead, direct and influence internal and external resources not in a reporting relationship.
  • Ability to engage and influence senior-level leaders.
  • Excellent written and oral communication skills – can present recommendations with conviction to CEO and Board of Directors
  • Independent - able to press ahead and can thrive in a highly entrepreneurial environment.
  • Experience working across different geographies and cultures.
  • Team Player – one who will lead by example, has integrity and will help others.
  • Comfortable with travel requirements of the job
  • A business or technical degree is required.
  • An MBA (or similar) is preferred.
  • As needed (could be up to 30% of your time)
